Lurnnet Subscription Terms (teachers only)

If you live in Egypt, an Arabic version will be published at the same address. Until then, this English version applies. Where a later Arabic version is published for users in Egypt, that Arabic version controls if the two conflict.
Plain-language summary (read this first)
Who Lurnnet is. Lurnnet is operated by Andrew Fahmy, doing business as Lurnnet. We may transfer this document to a company we form. Contact:

How Lurnnet bills you — one plan, pay per Student:
- There are no tiers and no base fee. There is a single plan whose price scales with your active Students.
- There is a free plan: up to 10 active Students, in both EGP and USD. It is free for as long as you stay on it, but it is a cap, not a discount — you cannot add an 11th Student, and AI and video are limited.
- Once you leave the free plan — by growing past 10 Students, or by choosing to upgrade sooner — every Student is billed, from the first. You do not keep 10 free Students afterwards, and you do not get them back in a quiet month. Leaving the free plan is permanent.
- The per-Student rate gets cheaper as you grow, and the cheaper rate applies to all your Students, not just the ones above a threshold. Your bill never goes down when you add a Student, and near each rate step it stays flat for a while.
- An active Student is a Student in one of your Classes who used Lurnnet during the billing period — signing in counts, not only submitting work. A Student who never opens Lurnnet in a period is not billed for that period. A Student in several of your Classes is counted once, not once per Class. Removing a Student before the invoice does not reduce that period.
- Your subscription includes pooled usage allowances (AI credits, video watch-hours, storage, TA seats) that also scale with your active-Student count. These are subject to hard caps; you can purchase top-ups.
- VAT is charged at your country's rate (Egypt 14%; KSA 15%; UAE 5%; Bahrain 10%; Oman 5%; Kuwait and Qatar none currently).
- At 2,001+ active Students you are flagged for our sales team — enterprise accounts are priced under a negotiated agreement.
Refunds and cancellation are governed by the separate Refund and Cancellation Policy at
/legal/refunds(in Egypt: 14-day cooling-off with the "fully availed" carve-out under CPL Article 41(1); elsewhere, that policy plus any stronger local consumer right).Institutional / school agreements are not in this document. This is the individual teacher subscription only.
1. Scope and incorporation
This Subscription Terms document applies only to teacher Subscribers under the Subscriber Terms (Part A) at /legal/terms. It is incorporated by reference into the Terms §6 ("Fees").
In any conflict between the Terms §6 and this Subscription Terms on a topic this document addresses, this document controls.
The Refund and Cancellation Policy at /legal/refunds governs cancellation and refund (which are not in this Subscription Terms); the DPA at /legal/data-processing-agreement governs Lurnnet's processor obligations to the Subscriber.
2. Eligibility for a paid subscription
To purchase a paid Lurnnet subscription you must:
- be at least 18 years old and able to contract under the law that applies to you;
- be acting as a teacher, tutor, or other educator (whether self-employed, freelance, or employed);
- have a valid payment method accepted by Lurnnet's payment processors (Tap Payments for GCC and international; Paymob for Egypt). Lurnnet does not sell subscriptions through in-app purchase on iOS or Android — all billing is via the web checkout;
- accept the Subscriber Terms (which incorporate the DPA, this Subscription Terms, the Refund and Cancellation Policy, and the rest of the document set).
3. The plan — single usage-based plan (no tiers)
Lurnnet offers one subscription plan. There are no feature tiers, no base fee, and no fixed seat licence. The fee is a pure function of the Subscriber's active-Student count (§4), computed per billing period using the flat rate bands in §4.2.
Accounts at or below the free floor (§4.2) pay nothing ("free-floor accounts"). Free-floor accounts receive the free-tier AI allowance rate (§6.1) and no included TA seats (§6.4); all other core teaching features are the same for every Subscriber.
The Subscriber acknowledges that Lurnnet may modify the bracket schedule, the free floor, or the allowance rates only with notice in compliance with §11 (Changes).
4. The metering formula
4.1. Formula
For each billing period, the Subscriber's fee (before VAT) is:
(total number of active Students) × (the per-Student rate for that total)
The rate is flat, not marginal. The rate band your total active-Student count falls into applies to every one of your Students, not only to the Students inside that band's range. There is no separate charge for Students in lower bands, and — above the free floor — no Students are excluded from the count.
Anti-inversion cap. Because the rate falls as the count grows, a flat rate would let a larger roster cost less than a smaller one. To prevent that, the fee for a period is capped at the entry price of the next band (that band's first Student count × that band's rate). Two consequences the Subscriber should expect, and neither is an error:
- The fee is monotonic — adding an active Student never reduces it.
- Near the top of a band the cap binds, so the fee is flat across a range of counts. Between 194 and 201 active Students, for example, the EGP fee is the same EGP 17,085 at every count.

with it.
4.2. Rate bands and the free plan
The free plan. Up to and including 10 active Students — in both EGP and USD billing — the fee is zero. This is a free plan with a hard cap, not a permanent allowance deducted from a paid bill: while on it, the Subscriber cannot enrol an 11th active Student, AI generation is limited to a reduced per-Student rate, and video is unavailable.
Leaving the free plan is permanent. A Subscriber leaves it either by crossing the 10-Student cap, or by choosing to upgrade earlier (which requires a payment method on file and starts billing immediately, at any roster size). Once the Subscriber has left the free plan, every active Student is billed from the first, in every subsequent period, including periods in which the active-Student count falls back to 10 or fewer. The free 10 are not re-earned and are not deducted from any later invoice.

At 2,001 or more active Students the account is flagged for Lurnnet's sales team ("contact sales") and is not charged automatically: the band rate above continues to apply until an enterprise agreement is signed, and Lurnnet may require the Subscriber to move to a negotiated enterprise agreement as a condition of continued growth beyond that threshold.
4.3. Worked examples
Example 1 (EGP): 10 active Students. On the free plan. EGP 0. An 11th active Student cannot be enrolled until a payment method is added.
Example 2 (EGP): 75 active Students. All 75 are billed at the 11–200 rate: 75 × EGP 110 = EGP 8,250 + VAT. Note that all 75 are charged, including the first 10.
Example 3 (EGP): the cap binding — 200 vs 201 active Students. At 200: 200 × EGP 110 = EGP 22,000, which exceeds the next band's entry price of 201 × EGP 85 = EGP 17,085, so the cap applies and the fee is EGP 17,085. At 201 the fee is 201 × EGP 85 = EGP 17,085 — the same. Growing from 200 to 201 Students does not increase the fee.
Example 4 (EGP): 300 active Students. 300 × EGP 85 = EGP 25,500 + VAT.
Example 5 (USD): 50 active Students. 50 × USD 5.00 = USD 250.00 + VAT.
Example 6 (EGP): a quiet period after leaving the free plan. A Subscriber who has left the free plan and has 9 active Students in a period is billed 9 × EGP 110 = EGP 990 + VAT. The free 10 do not return.
4.4. Definition of "active Student"
An active Student in a billing period is a Student who, at any time during that period, held an admitted enrollment in at least one of the Subscriber's Classes and used the Lurnnet service.
"Used the service" means any authenticated interaction with Lurnnet — signing in, opening the apps, reading materials or grades, watching a lecture video, submitting work, or being marked present. It is not limited to submitting work. Lurnnet records this as a single "last active" timestamp per Student and does not retain a per-request log of it for billing purposes.
A Student who is enrolled but does not use the service at all during a period is not counted for that period, and no fee is charged for them.
Two consequences of how admission works:
- A Student whose enrollment is waiting for the Subscriber to admit them, or who has been rejected, is not an active Student and is not billed.
- A Student held back solely because the Subscriber is at the free plan's 10-Student cap is included in the first invoice that releases them. This is the charge that admits them; without it they could not be enrolled.
Students under 18 who have not completed the parent-email-confirmation flow (Terms §12) cannot be admitted, and so cannot become active Students.
Deduplication: a Student enrolled in more than one of the Subscriber's Classes is counted once for metering. There is no per-Class fee, no per-Class floor, and no multi-Class multiplier.
The bill for a period is the count of distinct Students who were active at any time in that period, not a point-in-time snapshot at the moment we invoice. Removing or suspending a Student mid-period does not reduce that period's count. It only stops them counting toward later periods. A period already invoiced is not reopened because the roster later shrinks.
4.5. The metering cycle
Active-Student counts are computed per billing period. The invoice for a period reflects every distinct Student who was active in that period, including those later removed. The billing dashboard shows the live count and projected fee at all times.
4.6. Overage notification
Where the Subscriber's projected fee exceeds the previous period's actuals by more than 25%, Lurnnet sends an email notification. Failure of this courtesy notification does not excuse payment of correctly-metered fees.

(The Multi-Class Factor (MCF) in draft 1.0.0 has been removed — multi-Class usage is handled solely by the deduplicated active-Student count in §4.4. This section number is reserved to keep cross-references in companion documents stable.)
6. Included usage allowances, hard caps, and top-ups
6.1. Pooled allowances
The subscription includes pooled usage allowances that scale with the active-Student count:

6.2. Hard caps
Allowances are hard caps: when the pooled AI-credit cap (included allowance plus purchased top-ups) is exhausted, further AI invocations are declined until the next period or until a top-up is purchased. Lurnnet is not obliged to extend usage beyond the cap, and declining usage at the cap is not a Service failure, defect, or breach.
6.3. Top-ups
The Subscriber may purchase top-ups (e.g., additional AI credits, additional TA seats) at the prices shown at checkout. Top-ups are consumed after the included allowance, do not roll over unless the checkout page states otherwise, and are refundable only as stated in the Refund and Cancellation Policy.
6.4. TA seats
A TA seat is one active org membership with the TA role. Included seats follow a stepped schedule by active-Student count: 1 seat at 0–74 Students; 2 at 75–200; 3 at 201–400; 4 at 401–750; 5 at 751–1,200; 6 at 1,201–2,000; and 6 (plus negotiated enterprise grants) at 2,001+. The first seat is included from the first Student, including on the free plan. Additional seats beyond the included count require paid top-ups or an enterprise grant. The seat count is a hard cap enforced by the Service.
6.5. Fair use and abuse
Allowances are provided for ordinary teaching use. Lurnnet may throttle, suspend, or decline usage that Lurnnet reasonably determines to be automated abuse, resale, load testing, credential sharing, or other circumvention of metering, without this constituting a Service failure.
7. Currency, VAT, and other taxes
7.1. Currency
Lurnnet bills in exactly two currencies:
- EGP — Subscribers habitually resident in Egypt (processed by Paymob).
- USD — Subscribers in the GCC and all other supported countries (processed by Tap Payments).
The billing currency is fixed by the Subscriber's country at signup and determines the applicable bracket schedule and free floor (§4.2).
7.2. VAT
Lurnnet adds the applicable VAT to the Subscriber's invoice:
- Egypt: 14% (Egyptian VAT Law no. 67 of 2016).
- Saudi Arabia: 15% (Saudi VAT Regulation).
- UAE: 5% (UAE VAT Law).
- Bahrain: 10% (Bahrain VAT Law).
- Oman: 5%.
- Kuwait and Qatar: 0% (currently).
7.3. Bilingual invoices
Lurnnet issues invoices in both English and Arabic where the Subscriber is habitually resident in Egypt or another Arabic-language jurisdiction.
7.4. Tax invoices and e-receipts
Lurnnet will issue the tax documents the law requires for the Subscriber's billing country (including Egyptian Tax Authority e-invoicing or e-receipts if and when those rules apply to this service).
If those rules require it, Lurnnet may ask the Subscriber for a National ID number (Egyptian consumers) or a tax registration number, solely to issue a compliant invoice or e-receipt. Lurnnet does not collect that information today and will not use it for any other purpose. Refusal to provide it when the law requires it may prevent Lurnnet from issuing a compliant invoice and may lead to suspension of paid service until it is supplied.
7.5. Tax records
Lurnnet retains tax records for the legally-required period (Egypt: 5 years per the VAT Law). The Subscriber can export receipts and invoices from Settings → Billing → Receipts.
8. Billing cycle, charge timing, and renewal
8.1. Billing cycle
The Subscriber is billed monthly, on the same day each month (or the closest available day for short months). Where Lurnnet offers an annual option, the annual charge is taken on the anniversary of the subscription start date and Lurnnet sends a renewal reminder by email at least 7 calendar days before the renewal charge with the renewal date, the amount including VAT, a one-click cancel link, and a link to update the payment method.
Where the Subscriber's active-Student count grows materially mid-period, Lurnnet may collect the prorated fee accrued for that growth before the regular monthly billing date; such a collection covers only usage already accrued under §4, is itemised on its own invoice, and does not move the monthly billing date. Conversely, charges below a minimum invoice amount are deferred and carried forward into a later collection or the next monthly invoice rather than charged immediately.
8.2. Renewal pricing
Each period's charge is recomputed from the active-Student count under §4 for that period, using the then-current bracket schedule (which may change only in compliance with §11). Because the plan is usage-based, your charge naturally changes from period to period as your roster changes — a change in charge caused solely by your own roster is not a "price change" requiring notice under §11.
8.3. Amount verification
Lurnnet verifies the amount captured by the payment processor against the server-computed expected amount before activating or renewing a period, and will not treat an under- or over-captured charge as settling the invoice.
8.4. No refund on renewal as such
A renewal charge is not refundable except under the Refund and Cancellation Policy §3 (the 14-day cooling-off window does not restart on renewal — see Refund and Cancellation Policy §3.4) or §4 (material-failure remedy).
9. Trial period
Every new Subscriber account automatically starts with a 3-day trial of the paid allowance rates (§6). No action is needed to start it and no payment method is required.
- During the trial, the account receives the paying-account allowance rates (AI credits, watch-hours, storage) regardless of roster size.
- At the end of the trial, the account automatically reverts to the free floor (§4.2) — nothing is charged and no cancellation step is needed. Lurnnet sends a notice before the trial ends.
- Billing begins only when the Subscriber's active-Student count exceeds the free floor (§4), not because the trial ended.
- The 14-day cooling-off window in the Refund and Cancellation Policy starts on the Subscriber's first paid charge, not on the trial start.
10. Failed payment, grace period, suspension, and cancellation for non-payment
10.1. Dunning sequence
If a charge fails, the account moves through the following states, with email notice at each step:
- Grace period — from the first day the invoice is overdue, the account enters a grace period. The Service continues while the Subscriber updates the payment method.
- Suspension — if the invoice remains unpaid 15 days after it fell due, paid features and above-floor usage are suspended. Class data is preserved in a restricted state (no ordinary teaching use).
- Cancellation — if the invoice remains unpaid 45 days after it fell due, Lurnnet may cancel the subscription. Cancellation starts the 30-day restricted export window in the DPA and Terms §13. Export is the Subscriber's sole responsibility. After 30 days remaining class data is permanently deleted, except records the law requires.
10.2. Re-payment and reactivation
The Subscriber can update the payment method at any time before cancellation. Once a successful charge processes, the account is reactivated.
10.3. Fees continue to accrue
Suspension does not waive fees correctly metered for periods in which the Service was available. Lurnnet may set off unpaid fees against any refund otherwise due.
11. Changes to pricing and to this Subscription Terms
11.1. Pricing changes
Lurnnet may change the bracket schedule, the free floor, allowance rates, or top-up prices from time to time. Lurnnet will give at least 60 calendar days' notice of any such change, by in-app notice and email. Pricing changes do not take effect for the Subscriber until the start of the next billing period after the notice expires. Changes in the charge caused solely by the Subscriber's own roster growth are not pricing changes (§8.2).
A Subscriber on an annual plan locks in the bracket schedule for the remainder of the annual term; the new schedule applies on the next renewal.
11.2. Material changes to this Subscription Terms
Lurnnet may amend this Subscription Terms from time to time, with at least 30 calendar days' notice. Material changes (changes to the metering formula, the bracket schedule, the free floor, the active-Student definition, the allowance hard-cap mechanics, currency, VAT inclusion, or refund triggers in this document) require active re-acceptance.
Non-material changes take effect on continued use after the notice period.
11.3. Right to terminate for non-acceptance
If the Subscriber does not accept a material change to pricing or to this Subscription Terms, the Subscriber may terminate the subscription before the change takes effect, with a pro-rated refund of any prepaid fees per the Refund and Cancellation Policy.
12. Cancellation
The cancellation mechanism is described in the Refund and Cancellation Policy at /legal/refunds §5. Highlights:
- Cancellation through
Settings → Subscription → Cancel; - takes effect at the end of the current billing period;
- the Subscriber retains access until the period ends;
- when the period ends, class data is held in a restricted state for 30 days for the Subscriber to export; then it is permanently deleted as in the DPA. Export is the Subscriber's sole responsibility.
13. Institutional / school MSA-style billing — not in this document
The Lurnnet institutional / school track (where a school commits to a negotiated fee under a separate agreement) is not in scope here. That product, when launched, will have its own Subscription Terms. Accounts crossing the 2,001-active-Student threshold are handled under §4.2 ("contact sales").
14. Disputes about billing
If the Subscriber disagrees with a charge:
- Dispute internally — email
support@lurnnet.comwith the details. Lurnnet acknowledges within 5 working days and responds substantively within 15 working days. The Subscriber must raise a billing dispute within 90 days of the charge; charges not disputed within that window are deemed accepted, save where mandatory consumer law provides otherwise. - Refund and Cancellation Policy — apply the Refund and Cancellation Policy where applicable.
- Escalate to the regulator — Egyptian Consumer Protection Agency for Egyptian Subscribers; equivalent for GCC.
- Court — any formal legal proceedings must be brought in the courts of Cairo, Egypt, which have exclusive jurisdiction to the maximum extent local law permits (Terms §24). A complaint to a consumer-protection authority in your country remains available where the law gives you that right.
Metering records generated by the Service (active-Student counts, allowance consumption logs) are, absent manifest error, the authoritative record of usage for billing purposes.
